Whereas Party A wishes to represent the Owner at its entrustment to consign Party B to provide technical service for the “Analysis & Statistics System of Aviation Logistics Business” of Shanghai Pudong International Airport (first phase project) information system integration and Party B wishes to accept the consignment of Party A and provide the above technical service;

 

Whereas the parties will cooperate through friendly consultation on the basis of honesty and sincerity;

 

The parties thus agree on the following terms and conditions and hereby sign this Contract. The terms and conditions are as follows:

 

Chapter I Definition

 

Unless otherwise provided under this Contract, the definitions of terms of this Contract are as follows：

1.1   Project: Second part of the technical service for the “Analysis & Statistics System of Aviation Logistics Business” of Shanghai Pudong International Airport (first phase project) information system integration—project management service.

1.2   Technical data: all the entire and full reports, drawings, documents, statement of account, statements, graphs, electronic files and software provided to Party A by Party B after Party B has finished works of the project.

 

Chapter II Obligations of the Parties

 

2.1      Obligations of Party A

2.1.1       Party A shall provide timely to Party B necessary basic information and assessment information for this project within Party B’s working scope.

2.1.2       Where Party A founds that there is any mistake, omission or inconsistency with this Contract in technical data of this project of Party B, it shall notify Party B in writing and Party B shall thereafter modify the data timely in accordance with the notification.

2.1.3       Party A shall make payments under this Contract according to Chapter IV “Payment” of this Contract.

2.1.4       Other obligations provided in this Contract that Party A shall assume.

 

2.2  Obligations of Party B

2.2.1 Reports made and technical data provided by Party B shall meet the requirement of existing state standard, industry (professional) standard and local standards and requirements, and shall take advanced international standards actively.

2.2.2 Party B shall finish all the work of this project in accordance with the provisions of this Contract and the Appendix thereof. Party B shall also be responsible for the quality, progress of the project, the integrity of technical data and the accuracy of terms of the Chinese version.

2.2.3 Other obligations provided in this Contract that Party B shall assume
