7.1. Important remarks concerning drawings and documents
关于图纸和文档的重要备注
7.1.1. Each copy of a drawing or document becomes our property and will only be used for maintenance purposes within the Umicore Group. The Supplier retains the rights to all its intellectual property including copyrights.
每份图纸或文件的所有权都为优美科，并只在优美科集团内部用于维修目的。供应商保有全部知识产权，包括版权。
7.1.2. Drawings sent to us or approved by us shall not be modified by the Supplier during the manufacturing or assembling in our premises without Umicore’s prior approval.
在优美科未事先同意的情况下，供应商在制造时和在我方现场组装过程中不得修改曾送达并经我方认可的图纸。
7.2. Remark 注
The Supplier will endeavour to keep us informed without costs, at least during five years, of all standard improvements brought to the Equipment subject of this contract.

7.3. Communication 通讯
All notices, request for changes to this Contract and other communications between the Parties shall be in writing and shall be deemed to have been duly given (i) when delivered by hand or sent by fax with fax confirmation, (ii) one business day after delivery by receipted overnight courier delivery, (iii) when an e-mail or other written confirmation is provided by the Party receiving an e-mail to the Party who sends such e-mail to the relevant address of the other Party.

1) Hereby declare that we know that Umicore have developed some technical process, know-how and knowledge which are of proprietary and confidential nature in the field of Production of Ge-crystals, (hereafter referred to as “the Process”) ;
在此声明，我们知道优美科在锗晶体生产领域中开发了一些具有所有权和保密性质的工艺技术流程，技术诀窍和知识（以下称为“流程”）；
2) Declare that some Information as hereafter defined shall be disclosed to us by Umicore for the purpose of supply of a Crystal Grower ;
声明，出于方便我们进行单晶炉供货之目的，优美科向我们公开如下定义的一些信息；
3) Recognize that any technical information and data, know-how, document or file, specification, drawing, sample and/or other information related to the Process (hereafter “the Information”) which have been or shall be disclosed to us by Umicore, in writing, orally or other tangible form, in the hereabove framework have to be considered as strictly confidential, secret and the property of Umicore and we agree to keep it so. All such information shall be prominently marked as documented as confidential.
对于优美科在如上框架下通过书面、口头或其它有形方式已经向或将向我方披露的任何技术信息和数据、技术诀窍、档案或文件、规格、图纸、样品和/或与此流程相关的其它信息（以下称为“信息”），我们承认为优美科所拥有的严格机密、秘密，我们同意如此保持。所有此种信息应在存档中被显著标明机密。
We understand that such confidential Information is the result of work and research and represents for Umicore an important and valuable economic asset.
我们清楚地知道，这些机密信息是优美科工作和研究的成果，是优美科重要经济价值资产的代表。
4) Consequently, we undertake not to use the whole or a part of this Information for any other purpose than the purpose for which such Information has been or shall be disclosed to us by Umicore. More specifically, we undertake not to divulge this Information to any third party without the prior written consent from Umicore. We forbid ourselves to reproduce by any manner or method whatsoever such Information without the prior written consent from Umicore.
因此，我们承诺，除了用于优美科已经或将向我们披露的目的外，不将全部或部分信息用于其它用途。更具体地说，我们承诺在没有优美科的书面同意下，不向任何第三方透露此信息。在没有优美科的书面同意下，我们禁止自己以任何方式或方法复制此信息。
5) We undertake to send back to Umicore, except if otherwise authorized by Umicore, all documents transmitted to us by Umicore when the use for which they were transmitted shall have been achieved.

6) We undertake to oblige our personnel, our possible contractors and subcontractors, if any, as well as any other third party who might gain knowledge of this Information from us to respect the provisions of this Secrecy Commitment and we shall be responsible for any possible unauthorized use or use contrary to the present Commitment.
