7) It is however understood that Information shall not have to be considered as confidential to the extent that :

RULING ALL OUR PURCHASES, TO THE EXCLUSION OF ANY OTHER CONDITIONS AND PARTICULARLY THOSE PRINTED ON YOUR OFFERS, LETTERS, PRICE-LISTS, CONFIRMATIONS, INVOICES AND OTHER DOCUMENTS, UNLESS OTHER STIPULATIONS EXPRESSLY ACCEPTED BY US IN WRITING.

A. FORMATION OF THE CONTRACT

1. No supply will be accepted if it has not been the subject of a written order originating from our company and signed by the duly authorised person(s).

2. Failing written acceptance of the order by the Supplier at our purchasing conditions within a fortnight from the issue of our written order, we shall consider our order as tacitly accepted.

However after expiry of a further fortnight we also reserve the right to cancel our order in writing. The acceptance of the order implies the acceptance of all the conditions whether general or special mentioned in the inquiry and in the order from.
然而，再经过两星期后，我们仍保有书面取消订单的权利。接受订单意味着同意无论一般条件还是在询价单和订单中提及的所有特殊条件。
3. The correspondence is to be sent by post or telefax to the name and the address of our company mentioned on the order sheet.

4. In case of death, bankruptcy, winding up by court or voluntary liquidation, or even in case of suspension of payments by the Supplier due to insolvency, the Company reserves itself the right to cancel the contract without any further procedure

1. The Equipment supplied are always received and accepted at our factory. As far as weights are concerned, the weighing done with our own scales solely has probative force.

2. All the supplies will be in strict conformity with the stipulations of our order. Any defect of conformity to the said stipulations, to the drawings or models supplied by us, to the samples from us or from the Supplier or to the drawings made according to the present order, any material or constructional defect will entitle us to take delivery of the Equipment without committing ourselves or to refuse them; the Equipment would than be considered as not supplied. We decline any responsibility as to the articles refused or supplied in excess, even if they are temporarily stored by us; this Storing, which takes place on behalf of the Supplier and at his own risk, may not be considered as carrying agreement.

By the signature of this order, the Supplier guarantees Umicore against all claims, damages or sanctions, regarding the material, processes and means used to fulfil the order, and when based on patents, licences, drawings, patterns, trade-marks owned by third party and/or on an action of unfair competition, except for work done to conform to Umicore requirements or due to combinations with other products.
