If a dispute would arise on the intellectual proprietary rights (a.o. patents, know-how, copyrights, trademarks, drawings or patterns, etc ) the Supplier shall, at his costs and expenses a) refute the charge by means of well-founded evidences and/or

b) alter, at his own costs and expenses and immediately, the delivered material by identical material which is not subject to intellectual property rights from third parties. All costs and expenses resulting from this adaptation are borne by the Supplier, including the dismantling and reassembling, the recommissioning, etc and/or

c) take all necessary measures (e.g. by obtaining a licence or authorisation from third parties) to settle this dispute. In any case all relating costs and expenses are chargeable to him. Among others, the Supplier guarantees Umicore :

LIMITATION OF LIABILITY.

Supplier will in no event be liable for any direct, indirect, special or consequential damages whatsoever, whether grounded in tort (including negligence), strict liability, indemnity, warranty, contract or otherwise. Supplier's liability under no circumstances will exceed the contract price for the goods and/or services for which liability is claimed. Any action for breach of contract must be commenced within one year after the cause of action has occurred.

All drawings, sketches, etc... delivered by the Supplier become our property, so that we may use them without any restriction.

The Equipment (parts + labour) will be guaranteed during one year from the date of their acceptance against any material defect, faulty conception, construction, working or any other defect or deficiency. For hidden defects, legal prescriptions will apply.

All costs and expenses (including travel and hotel) are for Supplier’s account.

. The foregoing shall not apply to equipment that shall have been altered or repaired after shipment to Umicore by anyone except supplier's authorized employees, and supplier will not be liable in any event for alterations or repairs except those made with supplier's written consent.

F. TIME OF DELIVERY

1. The time of delivery or of completion mentioned in our order is of strict application

and the acceptance of the order forms an obligation for the Supplier to comply thereto, otherwise any damages will be effective by sole reason of non respectthe due date. Moreover, in the case of total or partial default of delivery or completion at this due date, we reserve our right to cancel all or part of the order and to place the order automatically elsewhere at the failing Supplier’s costs, expenses and risks and without any summons being necessary therefore. When contractual fines are foreseen in the contract, these are due and payable in full right without any previous summons by sole reason of the expiry of the time of delivery and may accordingly be automatically deducted from the amount of the invoices.
供应商接受本订单格式即承担按订单执行的责任，否则仅因不遵守交货期自身即构成损害。并且，在规定交货日若全部或部分未交付或完成，我们保留取消全部或部分订单，不必提前传唤即可自动向其它地方订货的权利，所有成本、费用、风险全由违约供应商承担。若在合同中预见到合同罚金，仅因交货期过期，而不必提前传唤，罚金到期则完全有权支付，自动从发票金额中扣减。
2. The reserves of time for unforeseen contingencies mentioned in the Supplier’s offers and acknowledgements of orders are of no avail.

The acceptability of a delay in the delivery in the case of circumstances beyond the control of the Supplier will only be examined on condition that the Supplier informs us immediately of the occurrence of such circumstances and also of the end of the circumstances preventing the contract from being carried out within the time foreseen in our order form.

No allowance has been made, nor shall Supplier be liable directly or indirectly for, delays of carriers or delays from labor difficulties, shortages, strikes or stoppage of any sort, fires, accidents, failure or delay in obtaining materials or manufacturing facilities, acts of government affecting Supplier directly or indirectly, bad weather, or any causes designated Acts of God or force majeure by any court of law and in the event such delays arise, the estimated delivery date shall be extended accordingly. Supplier will not be liable for any damages or penalties whatsoever, whether direct, indirect, special or consequential, resulting from Supplier's failure to perform or delay in performing.
