G.发运
1. The Supplier is strictly bound to comply with the despatching instructions given in the order. Failing precise instructions, the despatches for our account are to be made by the cheapest adequate means of transport and by reducing any expenses to the minimum compatible with the nature of the despatch. The despatches will be made at the Supplier’s risk, the damages caused to the Equipment through lack of suitable packing or protection remain in any case at the Supplier s expense.
1. 供应商应严格遵守订单中规定的发运指示。若无确切指示，由我方付费的发运应使用最便宜的适当的运输方式，尽量减少任何此种运输基准的附加费用。发运风险由供应商承担，因包装或保护不当而对设备造成的损失由供应商承担费用。
2. Any despatch must be notified to us at least 48 hours in advance by sending two copies of the advice of despatch to the address of destination of the Equipment, giving the exact date of despatch, numbers of the coaches for the railway forwarding, the number of the order form, the marks of the parcels, the weights and any other useful information for the verification and the acceptance of the Equipment, failing which the parcels could be refused. One other copy of the advice of despatch shall accompany the Equipment.
2. 在任何装运最少48小时前提前通知我们，通过寄送两份装运通知到设备地点和目的地，写明装运的准确日期，若是铁路运输请指明车厢数量，订单编号，包裹标识，重量及任何其它用以证实和接收设备的有用信息，未这样做的包裹可能被拒收。另一份装运通知需要随设备一同发送。
3. Partial supplies are not permitted.

4. The Supplier is not allowed to deliver the Equipment sooner than stipulated in the contract,

except when our Company expressly gives him a duly signed written authorization. Should the Supplier deliver the Equipment before the date stipulated in the contract, without the above mentioned consent, this would be at his own risks; anyhow, payment for this delivery would not be effected before the initial date foreseen in the contract.
除非我公司出具签字的书面同意。若供应商在没有如上所述书面同意的情况下，比合同规定日期提前交付设备，供应商将自行承担风险。然而，此次交付的付款直到合同规定到期日后才能支付。
5. Any expenses arising from the non-respect of our instructions, will be charged to the Supplier's account.

H. PACKAGING
H. 包装
Unless there is a written derogation, the packaging will be considered as free of charge and non-returnable. As a rule, the packaging charged will be handed back to the Supplier in good condition and they will have to be taken back at the invoiced price. If we have explicitly agreed to bear all or part of the packing expenses, these will be calculated at a fair price and will not exceed the actual cost of the packing used.
除非有书面的相反规定，包装应为免费的，不退还。作为惯例，收费的包装将完好地返还供应商，供应商必须以发票价格回收。如果我们明确同意承担全部或部分包装费用，应按合理价格计算，并不得超过所用包装材料的真实成本。
J. PAYMENT
J. 付款
1. An invoice giving the number and any other prescribed data of our order will be drawn up for every order and forwarded in duplicate, at the time of despatch of the Equipment to destination, to the postal address of our Company mentioned on the first page of this order.
1. 在设备装运往目的地时，对每份订单开具一式两联发票，标注我方订单上的编号和任何其它规定数据，寄至本订单第一页所列明的公司邮寄地址。
2. All our settlements will be made the 5th, 15th and 25th day of the month following the payment expiry date of the invoice.
2. 我们在发票到期日之后的每月5日、15日和25日进行结算。
The payment expiry date is calculated as follows : invoice arrival date plus 60 calendar days. We do not accept any collecting orders to be paid on our rash offices. Mode of payment is wire transfer.
付款到期日按如下方式计算：发票送达日加60个日历天。我们的办公室很繁忙，不接受任何到付订单。付款方式为电汇。
3. The invoices will only be paid after the full execution of our order. Any derogation authorized by us must be considered as exceptional and does not imply any subsequent derogation.

K. PRICE
K. 价格
The price mentioned in our order form is firm and not subject to revision,, unless Umicore requests material changes to the order. If our order form does not mention a definite price, the Equipment ordered may not be invoiced, without our written agreement, at a price higher than the one paid at the time of our previous order.
我方订单所提及的价格为固定的，不做更改，除非优美科要求订单的材料变更。若我方订单形式未提及确定的价格，在没有我方书面同意下，不应就订购设备以比我方以前订单更高的价格开具发票。
L. SAFETY AND HEALTH
L. 安全和健康
Any supply of plans, machines or mechanized tools, as well as of individual or collective protection equipment, should comply with the laws and regulations, in force in our country, in the matter of safety and health, as well as with all other conditions in the matter of safety and health being essential both to the worker's protection and to the adaptation of work to man (R.D. of June 20,1975, published in the Moniteur Belge of July 15, 1975 extending and altering the general regulations on labour protection : “Réglement Général pour la Protection du Travail”). Umicore is responsible for ascertaining compliance.
供应的任何车间设备、机器或机械工具，以及个人或集体保护设备，应遵行我国国内现行的关于安全和健康的法律法规，以及遵行所有其它对于工人保护和对人的适应工作的基本安全和健康的条件（1975年6月20日比利时官方通报出版，1975年7月15日就劳工保护的一般法规的延展和更改：“用工保护一般性协定”。）优美科有责任确定是否符合此规定。
On delivery of the above mentioned plants, machines, tools and equipment s, the Supplier will hand over to Umicore a document testifying that all general or particular requirements, either above mentioned or stated in this order, are met in the matter of safety and health.
在交付上述车间设备、机器、工具和设备时，供应商应提交给优美科一份文档，证明对于无论上述提及的或在本订单中规定的所有一般性或特殊要求，在安全和健康方面已经符合要求。
M. MISCELLANEOUS
M. 杂项
1. The present order may not be assigned to sub-contractors, without our Company’s written and duly signed authorization. If the Supplier entrusts a sub-contractor with all or part of the execution of the order, he remains solely and entirely responsible to us for the perfect execution of the aforesaid and he is bound to hand over a copy of these General Purchasing Conditions to his sub-contractor(s). The drawings, sketches, diagrams, computation notes accompanying our inquiries and our orders must be considered as confidential documents. They remain our property and may not be imparted to third parties without our authorization. The Supplier commits himself not to make use by way of publicity or otherwise of photographs, drawings or sketches of equipment manufactured for us according to our data. Moreover, it is strictly forbidden for suppliers to take within our factories photographs of installations or equipment, even of those supplied or set up by them.
1. 现行订单在没有我公司签署的书面同意的情况下，不得分发给分包商。若供应商把本订单的全部或部分执行委托给分包商，供应商仍需单独并完全向我们负责前述的良好执行，并有义务向其分包商转交一份此通用采购条件。与我们的询价单和订单相伴的图纸，草图，图表，计算标注必须视为机密文件。它们仍为我们所有，没有我们的授权不能给予第三方。供应商承诺，不公开使用根据我方数据为我们制造的设备的图片、图纸或草图。并且，严禁供应商在我方工厂内对安装或设备拍照，即使这些是他们供货或安装的。
2. Any dispute arising either from the wording of the contract or from the execution thereof, will be brought the Court of Brussels, solely competent to judge the said disputes in accordance with Belgian Laws. We however reserve the right, when we are plaintiff, to bring the matter before any other court being competent by virtue of the law.
2. 关于合同措辞或合同执行引起的任何争议，均应提交布鲁塞尔法庭，唯有此法庭能够按照比利时法律裁决争议。然而，我们保留当我方作为原告时，可以提交任何其它胜任法庭的权利。
3. For contracts for work and supplies, the General Purchasing Conditions are completed by the conditions of our General Specifications, which may be consulted in the offices of the Company. A copy thereof may also be supplied upon request.
3. 对于操作和供应的合同，我们的通用技术条件是对通用采购条件的完善，对通用技术条件可以咨询我们公司的办公室。如有需要，可以提供副本。
4. The Supplier shall be solely responsible for errors, delays and expenses which may result from the non-observance of the above-mentioned clauses, these being all of strict interpretation, considered as hand-written and not purely formal.
4. 供应商对不遵守上述条款引起的错误、延迟和费用单独负全部责任。一切都应严格看待，应被认为是手写的，而不是纯形式上的。
N. MODIFICATIONS - DEROGATIONS
N. 修改 – 例外
Any modification to the specifications or conditions of the order and/or to the General Purchasing Conditions will only be valid after our written confirmation.
任何对于此订单和/或通用采购条件的规格和条件的修改只有在我方书面确认后才能生效。
