6. 建议阶段、谈判阶段、履行阶段和提交保函 Proposal phase; negotiation phase; performance phase; posting bonds and guarantees
6.1 建议阶段 Proposal Phase. 6.1.1 各方将立即举行会议,确定技术和商务战略,并共同编制和批准与合同相关的建议书及相关修改文件。建议书中应包含详细的技术规范、价格和条款条件。建议书应以各方名义提交。每一方均同意使另一方免遭由于责任方在建议书中包含的信息或资料而导致的任何客户或第三方责任的损害,并同意因此而赔偿另一方。 The Parties will immediately conduct meetings to establish a technical and commercial strategy, and jointly prepare and approve the Proposal and any modification thereof in connection with any Contract. Detailed specifications, prices and terms and conditions shall be incorporated in the Proposal. The Proposal shall be in the name of the Parties. Each Party agrees to indemnify and hold the other Parties harmless from any Customer or Third Party liability arising out of information or material which the indemnifying Party includes in the Proposal.
6.1.2如果另一方提出要求,则每一方应在建议书的编写过程中迅速提交所需要的数据并回答疑问方提出的问题。 When requested by the other Parties, each Party shall promptly, submit such data and answer such questions as may be required by the requesting Party in the preparation of the Proposal.

6.1.3 各方应讨论并达成一个具有全面竞争力的投标价格。每一方在建议书中提出的报价应是具有竞争力、约定的一次性付款的价格,应完全涵盖每一方的工作范围及以下所规定的合同义务。各方均有权就各自承担的工作范围独立确定价格。每一方均同意以诚信价格参加竞争。 The Parties shall discuss an overall competitive Proposal price to the Customer. The offer price to be quoted by each Party in the Proposal shall be competitive, firm, lump sum prices which shall fully cover each Party's Scope of Work and the contractual obligations specified hereunder. Each Party shall have the sole power to establish its price for its respective Scope of Work. Each Party agrees to establish its price in good faith to meet anticipated competition.
如果项目经理(或建议书经理)不能就双方共同接受的联合体价格或条件条款战略达成一致,则任何一方均可将该事项提交至管理委员会。如果管理委员会在会议上不能就该问题达成一致,则各方应在会后合作继续探讨该问题的解决方式。如果各方在九十(90)天内依然不能在就达成一致并提交给管理委员会,各方将不会指定建议书,任何一方无权单独指定建议书。 If the Project Managers (or proposal managers) cannot reach an agreement on a mutually acceptable consortium price or terms and conditions strategy, then any Party may submit such issue to the Management Committee. If the Management Committee cannot reach agreement on this issue at the meeting, then following that meeting, the Parties shall work together to continue to try to resolve the issue. In the event the Parties are unable to reach agreement within ninety (90) days of the submission of such issue to the Management Committee, then the Parties shall not make a Proposal, and no Party shall have the right to make an independent Proposal.
6.1.4 各方应共同编制总体进度表以满足适用的招标文件和每个合同中列明的客户要求。 The Parties will together prepare the overall Schedule to comply with the Customer requirements in any applicable Tender Document and each Contract.
6.1.5 GETS GS将协调建议书中技术规范部分的编写,并应提交机辆所审查。对由另一方提供的信息进行审查的一方对该信息的准确性不承担任何责任。 GETS GS will coordinate the preparation of the technical specification part of the proposal subject to LCRI's review. A Party which reviews information provided by the other Party shall not be liable for the accuracy of the other Party’s information which it reviews.
6.1.6 每一方均应按照联合体经理约定的时间,携带各自最终价格、投标保函(如有)及建议书,在约定地点会齐,汇总并整理成最终的建议书以提交给客户。 Each Party will be present at the time and place agreed upon by the Consortium Manager with its final price, bid bond, if any, and proposal segment for collation into the overall Proposal to the Customer.
