1. Definitions 定义
1.1 “Deliverables” means any and all documents, information, know-how, files, specifications, drawings, and tangible things provided, delivered, conveyed, transferred, or disclosed to CGT by or on behalf of Applied, in Applied’s sole discretion, prior to or during the first six (6) months of this Agreement that directly relate to and are necessary for practicing, incorporating, or utilizing the Applied Developments identified as “Included” in Exhibit A to this Agreement. The documents and records attached as Exhibit B to this Agreement shall constitute a Deliverable (or Deliverables), and shall further evidence and record details of the Applied Developments under this Agreement.

1.2 “Gross Sales Price” means the greater of the gross sales price charged or received by CGT (or a CGT Affiliate) for the bona-fide, arm’s-length sale of a Licensed Product to an end-user customer, without giving effect to any credits, discounts, refunds, rebates, or the like, but excluding any of the following costs and expenses that are separately invoiced: sales, use, or value-added taxes actually paid to a state, federal, or local government; import and export duties; and any shipping and handling expenses actually incurred by CGT. If a Licensed Product is sold along with one or more other products, the Gross Sales Price for the Licensed Product will be deemed to be the greater of: (a) the gross sales price actually paid to CGT (or the CGT Affiliate) for such Licensed Product, or (b) the standard gross sales price for such Licensed Product when it is sold separately, as determined by the average gross sales price for previous sales of such Licensed Products during the previous six (6) months or, if there were no sales during the previous six (6) months, by an agreement between the Parties or an independent appraiser mutually acceptable to both Parties.
“总售价”指CGT（或CGT的某个关联人）在将许可产品出售给终端消费者的真实、公平的交易中所收取或收到的较高的总售价，不包括赊购、折扣、退款、回扣或类似情况，不包括下述任何另行计费的成本和费用：实际向某个州、联邦或地方政府缴纳的营业税、使用税或增值税；进口和出口关税；以及CGT实际支出的任何运输和处理费用。若某个许可产品与一个或多个其他产品共同出售，许可产品的总售价应为下列中较高者：(a)实际向CGT（或CGT的关联人）支付的该许可产品的总售价，或(b)该许可产品单独出售时的标准总售价，即此前六（6）个月内该许可产品出售时的平均总售价；或者，若在此前六（6）个月未销售该许可产品，应为由双方协商确定或由双方共同认可的独立评估师确定的总售价。
1.3 “Licensed Product” means any crystal puller manufactured, sold, or otherwise distributed by CGT that incorporates or utilizes any Licensed Intellectual Property under this Agreement, or any equipment, spares, parts, or supplies manufactured, sold, or otherwise distributed by CGT for use on or in connections with such crystal pullers that incorporate any Licensed Intellectual Property under this Agreement. A Licensed Product does not need to use or incorporate all (or even a substantial portion) of the Licensed Intellectual Property to qualify as a Licensed Product.
“许可产品”指融合或使用了本协议下的任何许可知识产权并由CGT制造、销售或以其他方式分销的拉晶机，或CGT为在上述融合了本协议下的许可知识产权的拉晶机中使用而制造、销售或以其他方式分销的任何设备、备件、部件或供应品。作为一个许可产品，该产品不需使用或融合全部的（或者即使是某个重要部分的）许可知识产权即可称为许可产品。
1.4 “CGT Improvement” means any and all inventions, patents, patent applications, inventor’s certificates, or other patent-like rights, copyrights and copyrighted works, derivative works, mask-work rights, trade secrets, know-how, and confidential or proprietary information created, invented, discovered, developed, owned, acquired, or controlled by CGT (or a CGT Affiliate) at any time during the Term of this Agreement that is or could reasonably be embodied or incorporated into Licensed Products manufactured, sold, or distributed by CGT under this Agreement.
“CGT技术进步”指由CGT（或CGT的某个关联人）在本协议有效期内创造、发明、发现、研发、拥有、取得或控制的、可合理应用于或安装于由CGT在本协议下制造、销售或分销的许可产品的所有发明、专利、专利申请、发明人证书、或其他类似专利权的权利、著作权以及享有著作权的作品、派生作品、掩膜作品权、商业秘密、专有技术以及保密信息或专有信息。
1.5 “CGT Affiliate” means any parent, subsidiary, distributor, agent, vendor, partner, investor, shareholder, or other third-party individual or entity (excluding Applied) that is owned or controlled by CGT, shares common ownership or control with CGT, operates subject to a contractual agreement with or on behalf of CGT, or has a legal or fiduciary obligation owed to CGT regarding the manufacture, sale, or other distribution of Licensed Products.
“CGT关联人”指CGT所拥有或控制的、或与CGT享有共同所有权或控制权的、或基于合同与CGT共同经营或代表CGT进行经营的、或对CGT负有关于许可产品制造、销售或其他经销行为的法定义务或信托义务的任何母公司、子公司、经销商、代理人、卖方、合伙人、投资人、股东或其他第三方个人或实体（不包括应用公司）。
1.6 “Sold” means sold, leased, loaned, shipped, placed, or otherwise distributed by CGT or a CGT Affiliate to a distributor, reseller, or end user customer in exchange for CGT or the CGT Affiliate receiving any compensation, remuneration, or other value, and such sale will be deemed to have occurred on the earliest of CGT invoicing, transferring title, receiving full or partial payment, shipping, delivering, installing, placing, or otherwise distributing the Licensed Product.
“出售”指由CGT或CGT的某个关联人向经销商、转售人或终端消费者出售、出租、出借、运送、放置或以其他方式进行销售，CGT或CGT的关联人收取补偿费、报酬或其他有价物的行为，此类出售行为在CGT开具发票、转移所有权、收取全部或部分费用、运送、交付、安装、放置或以其他方式销售许可产品时（上述各项以发生在先的为准）即视为已发生。
