6. Representations and Warranties 陈述和保证
6.1 Mutual Representations and Warranties. Each Party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations and duties under this Agreement, that is has not entered into any agreement directly conflicting with the terms of this Agreement, and that its performance of any duties or obligations under this Agreement does not conflict with or result in a breach or violation of any judgment, order, or decree by which it is bound.

6.2 Disclaimer. Neither Party makes any representations or warranties of any kind, other than the representations and warranties expressly stated in this Agreement. CGT acknowledges that it has not relied on any representations, statements, or warranties by any employee or representative of Applied, other than the express representations and warranties contained in this Agreement. Without limiting the generality of the foregoing, nothing in this Agreement should be construed as a representation or warranty by Applied, and Applied specifically disclaims any representation or warranty:

(a) As to the ownership, right to use, title, validity, enforceability, or scope of any Licensed Intellectual Property;
关于任何许可知识产权的所有权、使用权、产权、效力、执行力或范围的陈述或保证；
(b) That it will maintain any of the Licensed Intellectual Property;
关于其将保留任何许可知识产权的陈述或保证；
(c) That using, making, selling, offering for sale, importing, or exporting a Licensed Product as defined under this Agreement will not infringe any patent or other enforceable intellectual property rights of a third party;
关于使用、制造、出售、要约出售、进口或出口本协议中的许可产品的行为不构成对第三方的专利权或其他有效的知识产权的侵犯的陈述或保证；
(d) That it will enforce any of the Licensed Intellectual Property against a third party;
关于其将对第三方实施任何许可知识产权的陈述或保证；
(e) That no other entity has been granted a license under the Licensed Intellectual Property by Applied or any predecessor in interest to Applied;
关于应用公司或其利益继受人未授予任何其他实体关于许可知识产权的许可的陈述或保证；
(f) Expressing or implying an obligation to furnish any manufacturing or technical information to CGT, or engage in any sort of technology transfer, consulting, or technical support to enable CGT to practice the Licensed Intellectual Property, other than as specified in this Agreement and constituting the transfer of the Deliverable as defined in this Agreement.
关于向CGT提供任何制造或技术信息或参与任何种类的技术转让、顾问或技术支持以使得CGT能够实施许可知识产权的明示或默示的义务的陈述或保证，但本协议中规定的以及构成对本协议中规定的交付物的转让的除外。
